Tesla’s latest shareholder letter reveals a significant nuance in how the automaker reports its software adoption, defining its 1.74 million active users through a lens that directly benefits executive compensation.

The company stated in its Q3 2026 report that it now has 1.74 million active Full Self-Driving subscriptions, a 67% increase from the previous year. However, a footnote clarifies that this figure follows the methodology of the 2025 CEO Performance Award. This definition includes both monthly subscribers and owners who purchased the software as a one-time upfront cost. Tesla ceased selling FSD as a lump-sum purchase in February 2026, shifting new customers to a $99 monthly model in the US, but those who paid up to $15,000 previously remain in the active count as long as their vehicles are operational. Only free trials are excluded from this total, leaving investors without a clear breakdown of how many users are paying monthly versus those who bought the package outright.

This accounting method is critical because reaching 10 million active FSD subscriptions is a key operational milestone required for Elon Musk to earn his 2025 pay package. The award consists of 12 tranches, each tied to market cap and operational targets, including 20 million cumulative deliveries and 1 million Optimus robots. As of June 30, Tesla considered only the delivery milestone probable. The company noted that 260,000 net FSD subscriptions were added in Q3, its strongest quarter yet. If Tesla maintains this quarterly pace, it would take approximately eight years to reach the 10 million target. At the trailing 12-month average of roughly 700,000 new users per year, the timeline extends to nearly 12 years, though the compensation plan remains active until 2035.

Beyond the subscription count, Tesla reported that more than 75% of new North American deliveries in Q3 included FSD subscriptions, representing a nearly 20-percentage-point sequential increase. The company believes this software is driving demand in available markets. However, the letter does not define whether this attach rate includes introductory offers or how many of those buyers continue paying after the initial period. Unlike the active subscription metric, which explicitly excludes free trials, the attach rate lacks similar clarity regarding retention or trial status.

The stakes for investors and shareholders are high, as this metric has become Tesla’s primary indicator for software momentum. The board approved the definition that aligns with Musk’s compensation, yet the company has not disclosed the specific number of users paying the monthly fee. This opacity raises questions about the sustainability of the software business, particularly given that many of the counted users were originally sold the promise of unsupervised self-driving, a feature Tesla has not yet fully delivered. The cumulative delivery figure of 10.2 million also includes unsupervised robotaxis in commercial operation, mirroring the compensation structure’s 20 million vehicle milestone.
